3. Confidentiality:
Both CX Digital and the client agree to maintain the confidentiality of proprietary information and trade secrets disclosed during the course of the engagement.
4. Intellectual Property:
All intellectual property developed or provided by CX Digital during the engagement, including but not limited to strategies, content, and designs, remains the property of CX Digital unless otherwise specified in the agreement.
5. Client Responsibilities:
The client agrees to provide necessary information, access, and cooperation for the successful execution of digital marketing services. Delays or failures resulting from the client's actions or inaction may impact the effectiveness of the services.
6. Termination:
Either party may terminate the engagement with a written notice. Termination may result in the client being billed for services provided up to the termination date.
7. Limitation of Liability:
CX Digital is not liable for any indirect, consequential, or incidental damages arising from the use of our services. Our liability is limited to the fees paid for the specific services.
8. Governing Law:
These terms and conditions are governed by the laws of [Jurisdiction]. Any disputes arising out of or in connection with these terms will be resolved through arbitration in accordance with the rules of the [Arbitration Organization].
